1. Agreement to Terms

By accessing or using Qerge (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Qerge is a scanner-first QR code management platform that enables users to:

Create and manage multiple QR code scanners for iOS and Android devices
Generate batches of QR codes from CSV contact lists in seconds
Track scans in real-time with instant notifications and detailed history
Use encrypted QR codes to protect sensitive data and prevent tampering
Assign multiple scanners to batches for distributed teams
Scan QR codes offline with automatic synchronization when online

3. User Accounts

3.1 Account Creation

You must provide accurate, current, and complete information when creating an account
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account

3.2 Account Security

You must notify us immediately of any unauthorized use of your account
We are not liable for any loss or damage arising from your failure to protect your account credentials

4. Acceptable Use

4.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates any applicable law or regulation
Transmit any malicious code, viruses, or harmful data
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers
Use the Service to collect or store personal data about others without their consent
Use the Service for any fraudulent or deceptive purpose
Reverse engineer, decompile, or disassemble any part of the Service

4.2 Content Responsibility

You are solely responsible for all content, data, and information you upload or generate through the Service, including contact lists, batch data, and QR code content
You represent and warrant that you have all necessary rights to use and share any content you provide, including consent from individuals whose data appears in your contact lists
You agree not to upload content that is illegal, harmful, or violates any third-party rights
You are responsible for ensuring that any personal data in your contact lists is collected and used in compliance with applicable privacy laws
You acknowledge that encrypted QR codes contain data that you control, and you are responsible for the security and appropriate use of encryption keys

5. Subscription and Payment

5.1 Subscription Plans

We offer three subscription tiers:

Free Plan ($0 USD per month)

Maximum 5 batches
500 QR codes per batch
Keep last 500 scans
1 scanner maximum

Starter Plan ($5 USD per month)

Unlimited batches
500 QR codes per batch
Keep last 5,000 scans
3 scanners maximum

Pro Plan ($10 USD per month)

Unlimited batches
500 QR codes per batch
Keep last 20,000 scans
Unlimited scanners

Subscription fees are billed in advance on a monthly basis. All fees are non-refundable except as required by law.

5.2 Payment Terms

You agree to provide current, complete, and accurate purchase and account information
You agree to promptly update account and payment information
You authorize us to charge your payment method for all fees due
If payment fails, we may suspend or terminate your subscription

5.3 Plan Limits and Overages

If you exceed your plan’s limits (e.g., QR codes per month, scanners, batches), we may suspend certain features or require you to upgrade
Scan history beyond your plan’s retention period will be automatically deleted
You are responsible for monitoring your usage within plan limits

5.4 Cancellation

You may cancel your subscription at any time
Cancellation takes effect at the end of the current billing period
No refunds will be provided for partial billing periods
Upon cancellation, your account will revert to the Free plan limitations

6. Intellectual Property

6.1 Our Rights

The Service and its original content, features, and functionality are owned by Qerge and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws

6.2 Your Rights

You retain ownership of any content you create or upload through the Service
By using the Service, you grant us a limited license to use, store, and process your content as necessary to provide the Service

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy
We implement reasonable security measures to protect your data, including encryption for QR codes when enabled
You are responsible for backing up your own data, including contact lists and batch information
We are not responsible for any loss or corruption of your data
Scan history is retained according to your subscription plan (last 500 scans for Free, last 5,000 for Starter, last 20,000 for Pro)
You acknowledge that scan data may be processed and stored to provide real-time tracking and history features

8. Service Availability

8.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access
The Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances

8.2 Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time
We will provide reasonable notice of significant changes when possible

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM

10. Indemnification

You agree to indemnify, defend, and hold harmless Qerge and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Any content you submit or transmit through the Service

11. Termination

11.1 By You

You may terminate your account at any time by canceling your subscription

11.2 By Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties
Upon termination, your right to use the Service will immediately cease

12. Changes to Terms

We reserve the right to modify these Terms at any time
We will notify you of material changes by posting the new Terms on this page
Your continued use of the Service after changes become effective constitutes acceptance of the new Terms

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

14. Dispute Resolution
